Acceptance of these terms These terms of use ("Terms") govern access to and use of the website at skillsforce.com.sg (the "Site"), operated by Skillsforce Management Consultancy Pte Ltd ("Skillsforce", "we", "us", "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site. These Terms apply to visitors browsing the Site, submitting the enquiry form, using the calculator (the CPF contribution calculator, or any similar tool we publish), or reading the guides and employer resource pages published on the Site. They do not govern the separate contractual relationship between Skillsforce and its recruitment, HR, payroll, or manpower outsourcing clients, which is set out in separate signed agreements. Where these Terms and a signed services agreement cover the same ground, the signed agreement prevails for that engagement. ## 2. Permitted use You may access and use the Site for your own personal or internal business reference, including to learn about our services, use the calculator, read the guides and employer resource pages, and submit an enquiry. You must not: - use the Site in a way that breaches any applicable law or regulation; - attempt to gain unauthorised access to the Site, its underlying systems, or any account or data held on it; - copy, scrape, reproduce, or redistribute substantial parts of the Site's content for commercial purposes without our prior written consent; - use any robot, spider, scraper, or other automated means to access, monitor, or copy the Site, other than a search engine, AI assistant, or similar service that follows the instructions we publish for automated visitors in robots.txt and llms.txt; - do anything that places an unreasonable load on the Site or the systems behind it, or that interferes with its normal operation or its availability to others; - frame or mirror any part of the Site, present its content as your own, or use it in a way that misrepresents your relationship with us; - reverse engineer, decompile, or disassemble any part of the Site or the software behind it, except to the extent that the law does not permit that restriction; - remove, obscure, or alter any copyright, trade mark, or other proprietary notice on the Site; - introduce any virus, malware, or other harmful code to the Site; - use the enquiry form to submit false, misleading, or unsolicited commercial content. We may suspend or restrict access to the Site, in whole or in part, at our discretion, including where we reasonably believe these Terms have been breached. We may do so without notice, and we are not liable to you for doing so. ## 3. Intellectual property The Site, and all content on it (including text, graphics, logos, the Skillsforce name and branding, page layouts, and the underlying calculator tools), is owned by Skillsforce or its licensors and is protected by copyright, trade mark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable and revocable licence to access the Site and to view, download and print its content for the permitted purposes described in section 2. That licence does not extend to reproducing, redistributing, or commercially exploiting the content, and it ends automatically if you breach these Terms. Nothing in these Terms grants you any right or licence to use our name, branding, or trade marks beyond what is necessary to browse the Site in the ordinary course. If you send us feedback, suggestions, or ideas about the Site or its content, we may use them without restriction and without any obligation to you. That does not change how we handle personal data, which is covered by our privacy notice. ## 4. The calculator and guides: accuracy The Site publishes a free calculator (a CPF contribution calculator) and guides on Singapore employment, work pass, CPF, and payroll topics (together, the "Informational Tools"). The Informational Tools are provided for general information purposes only. They do not constitute, and must not be relied on as, legal, tax, immigration, HR, or other professional advice. Results generated by a calculator are indicative only, and depend on the accuracy of the figures entered and on whether the underlying rules have changed since the figures were last checked. Each calculator and reference page shows the date its figures were last checked against the relevant government source, and carries its own disclaimer alongside the sources it cites. Rules, rates, and eligibility criteria set by MOM, CPF Board, IRAS, and other government bodies change from time to time, and we do not guarantee that the Informational Tools reflect the most current position at the time you use them. Verify figures against the relevant official government source, or seek advice from a qualified professional, before making a decision. Where an assessment rests with a government body, that body makes the final determination, not Skillsforce. ## 5. No reliance and limitation of liability To the fullest extent permitted by Singapore law: - the Site and the Informational Tools are provided "as is" and "as available", without warranty of any kind, whether express or implied, including as to accuracy, completeness, satisfactory quality, fitness for a particular purpose, or non-infringement; - we do not warrant that the Site will be available without interruption, that it will be free of errors, viruses, or other harmful code, or that any fault in it will be corrected; - you use the Site and the Informational Tools at your own risk, and any decision you make in reliance on content published on the Site is your own responsibility; - neither Skillsforce nor our directors, employees, or agents shall be liable for any direct, indirect, incidental, special, or consequential loss or damage, whether the claim is made in contract, in tort (including negligence), for breach of statutory duty, or otherwise, arising out of or in connection with your use of, or inability to use, the Site or the Informational Tools, including loss arising from any inaccuracy, error, or omission in a calculator result or guide. The exclusion above includes, without limitation, loss of profits, loss of business or anticipated savings, loss of goodwill or reputation, and loss or corruption of data, whether the loss is direct or indirect. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Singapore law, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation. ## 6. Third-party links The Site links to third-party websites and government portals for reference, including the Ministry of Manpower (MOM), the Central Provident Fund (CPF) Board, the Inland Revenue Authority of Singapore (IRAS), MyCareersFuture, and the Tripartite Alliance for Fair and Progressive Employment Practices (TAFEP). These links are provided for convenience only. We do not control, and are not responsible for, the content, accuracy, or availability of any third-party website, and linking to a third-party website does not imply endorsement by Skillsforce of that website or its operator. Your use of any third-party website is governed by that website's own terms and privacy practices. ## 7. Privacy Our collection, use, and disclosure of personal data through the Site is described in our [privacy notice](https://skillsforce.com.sg/privacy), which should be read together with these Terms. ## 8. Changes to the Site and these Terms We may update, suspend, or discontinue any part of the Site at any time, without notice. We do not guarantee that the Site, or any part of it, will always be available, and we are not liable to you if it is unavailable at any time or for any period. We may also revise these Terms from time to time, for example to reflect changes in our services, the law, or how the Site operates. The revised Terms will be posted on the Site with a revised "last updated" date, and take effect from the date of posting. Continued use of the Site after that date constitutes acceptance of the revised Terms, so please check this page from time to time. A revision does not apply retrospectively: the version in force when you used the Site is the version that governs that use. ## 9. Governing law and jurisdiction These Terms are governed by the laws of Singapore. Any dispute arising out of or in connection with these Terms or your use of the Site is subject to the exclusive jurisdiction of the courts of Singapore. ## 10. General If any provision of these Terms is found to be invalid or unenforceable, it is to be read down to the minimum extent necessary to make it enforceable, or severed if it cannot be read down. The remaining provisions continue in full force. If we do not enforce a provision of these Terms on any occasion, that is not a waiver of it and does not prevent us from enforcing it later. Nothing in these Terms, and nothing published on the Site, creates a partnership, joint venture, agency, or employment relationship between you and us. Using the Site does not make you a client of Skillsforce, and does not create a professional or advisory relationship. These Terms are the entire agreement between you and us in relation to your use of the Site, and they replace any earlier version of them. This does not affect section 1: where these Terms and a signed services agreement cover the same ground, the signed agreement prevails for that engagement. ## 12. Indemnity If you use the Site in breach of these Terms, or unlawfully, you are responsible for the consequences of doing so. You agree to indemnify us against any loss, damage, cost, or expense (including reasonable legal costs) that we incur as a result of that use, or as a result of a claim brought against us because of it. This applies only to loss caused by your own use of the Site. It does not cover loss caused by us, and nothing in this section affects the savings clause in section 5, which continues to apply.
